The High Regional School of Magistracy ( ERSUMA) of the Organization for the Harmonization of Business Law in Africa (OHADA) announces the publication of the book entitled « Guide pratique de gestion du Registre du Commerce et du Crédit mobilier (RCCM) et du Registre des Sociétés Coopératives (RSCOOP) dans l’espace OHADA » [Practical Guide to the Trade and Personal Property Right Register (RCCM) and the Register of Cooperative Societies (RSCOOP) management within the OHADA area].
This guide is the first work published by “Les Éditions de l’ERSUMA”, the Institution’s publishing house created pursuant to Decision N°05/CM/OHADA/2018 of the OHADA Council of Ministers on ERSUMA’s fee-forservice activities.
It is written by two court registrar executives from OHADA Area:
- Mr. Paul LENDONGO, Doctor in Management Science from the International University of Dakar (Senegal), Former Chief Registrar of OHADA Common Court of Justice and Arbitration (CCJA);
- Mr. Kossi AYATE, Chief Registrar at the Commercial Court of Lomé and Manager of the Togo’s RCCM National Registry, Holder of a bachelor’s degree in Legal, Political and Administrative Sciences, from the High Institute of Law and Interpretation (ISDI) – Lomé.
Prefaced by Professor Akuété Pédro SANTOS, Associate professor (Agrégé) of Law , Honorary Dean of the Faculty of Law of the University of Lomé, Rector of the African University for Cooperative Development (UADC), with the foreword by Professor Dorothé Cossi SOSSA, Associate professor (Agrégé) of Law , full professor and former Permanent Secretary of OHADA, this guide is a real practical tool to manage RCCM and RSCOOP. It recalls the origins, missions and usefulness of these two registers and places them in their core role of improving the business climate within the OHADA Member States.
This management guide combines the understanding and mastery of the methods to use the RCCM and RSCOOP registries’ system. It describes in a practical manner the procedures and organizes, with assurance and method, the registration, declaration and entry formalities. Put in perspective with the computerization of the registers, it highlights the interconnection between the RCCM and SCOOP registers. It considers the pyramidal organization that characterizes them and the particular management of information relating to security interests.
With its practical approach based on the RCCM and the RSCOOP legal and administrative framework, it is a management tool for these registers as well as a tool to handle disputes pertaining to them.
People practicing the management of the RCCM’s registers whose experience has greatly contributed to the improvement of the current system wrote it. It is also a capacity-building tool for the entities in charge of the registers’ keeping, a support to evaluate the management system of the RCCM and the RSCOOP, as well as a means to guide users, in particular economic operators and entrepreneurs.
